Terms of Service

1Acceptance of the Terms

By creating an account, installing a library, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2The Services

QuxKit provides developer libraries and a set of applications and hosted services built on them. Some components are open source and licensed separately (see Section 6); others are commercial and provided under these Terms. We may add, change, or discontinue features at any time, and we will make reasonable efforts to notify you of material changes.

3Accounts & Registration

You must provide accurate information when you register and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Services.

4Acceptable Use

You agree not to, and not to permit others to:

• use the Services in violation of any law or third-party right;
• attempt to gain unauthorized access to the Services or another user’s data;
• probe, scan, or test the vulnerability of the Services except under an authorized program;
• interfere with or disrupt the integrity or performance of the Services;
• resell or provide the commercial Services to a third party except as expressly permitted;
• upload malware or use the Services to transmit unlawful, infringing, or harmful content.

5Subscriptions, Fees & Payment

Paid plans are billed in advance on a recurring basis (monthly or annually) unless stated otherwise, and usage-based fees are billed in arrears. Fees are non-refundable except where required by law. We use third-party payment processors; by providing payment information you authorize us and our processors to charge the applicable fees. We may change pricing on renewal with prior notice. Taxes are your responsibility unless we are legally required to collect them.

6Open-Source Components

Portions of the Services are open source and provided under their own licenses (for example, the core libraries). Those licenses govern your use of the corresponding components and, in the event of a conflict with these Terms, control for that component. Nothing in these Terms limits your rights under an applicable open-source license.

7Intellectual Property

Except for open-source components and your own content, the Services and all related intellectual property are owned by QuxKit or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the commercial Services during your subscription, subject to these Terms.

8Customer Data

You retain all rights to the data you submit to the hosted Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy and, where applicable, a Data Processing Addendum.

9Third-Party Services

The Services may integrate with third-party services (such as payment providers). Your use of those services is governed by their terms, and we are not responsible for them.

10Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11Limitation of Liability

To the maximum extent permitted by law, QuxKit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim.

12Indemnification

You agree to indemnify and hold harmless QuxKit from any claims, damages, and expenses arising from your use of the Services or your violation of these Terms, to the extent permitted by law.

13Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or to protect the Services. On termination, your right to use the commercial Services ends; sections that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.

14Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new date). Your continued use of the Services after the changes take effect constitutes acceptance.

15Governing Law

These Terms are governed by the laws of the jurisdiction in which QuxKit is established, without regard to its conflict-of-law rules. The courts of that jurisdiction will have exclusive jurisdiction, except where you have mandatory rights to bring proceedings elsewhere.
